Introduction
These Terms of Service ("Terms") govern the relationship between Brilliantcraft ("we", "us", or "our") and any individual or entity ("you" or "the Client") that uses our website or engages us to provide automation services. By accessing our website at brilliantcraft.com.ng or entering into a service agreement with us, you agree to these Terms.
We believe the best results come from clear expectations and a genuine partnership. These Terms are designed to protect both parties while keeping our focus on delivering value to your business.
Service Scope
Brilliantcraft provides business and revenue automation services designed to help organizations save time, reduce manual work, and scale operations. Our services include, but are not limited to:
- Business Automation: designing and building workflows that replace repetitive manual processes across your operations.
- AI Chatbots: developing conversational AI assistants for customer support, lead qualification, and user engagement.
- CRM Operations: configuring, integrating, and optimizing customer relationship management systems and sales pipelines.
- Web Systems: building websites, web applications, portals, and connected digital products that support your business.
- Marketing Automation: automating email sequences, lead nurturing, ad operations, and campaign workflows.
- AI Voice Agents: building and deploying AI voice assistants that answer calls, qualify callers, and book appointments on your behalf.
The specific deliverables, timelines, and fees for each project will be outlined in a separate proposal, statement of work, or service agreement.
The Audit Process
Most engagements begin with a Free Automation Audit. During this phase, we review your current workflows, identify automation opportunities, and estimate the potential impact on time savings and revenue growth.
Following the audit, we present a custom strategy and proposed implementation plan. Work begins only after both parties agree to the scope, timeline, and investment described in the approved proposal or contract.
The free audit does not obligate either party to proceed with a paid engagement. Any recommendations provided during the audit remain the intellectual property of Brilliantcraft unless otherwise agreed in writing.
Client Responsibilities
For us to deliver great results efficiently, the Client agrees to:
- Provide timely and accurate information about business processes, systems, and requirements.
- Grant necessary access to relevant software, platforms, and accounts, including but not limited to Zapier, Make.com, HubSpot, Shopify, CRMs, email tools, advertising accounts, and AI platforms.
- Provide feedback, approvals, and requested materials within the timeframes agreed in the project schedule.
- Ensure that all data, credentials, and access provided comply with applicable laws and that the Client has the right to share them with us.
- Maintain valid subscriptions and licenses for any third-party tools required for the project.
Delays caused by incomplete information, delayed feedback, or lack of access may affect project timelines and may be subject to schedule adjustments.
Intellectual Property
We respect the ownership of your business assets, and we protect the value of our expertise. Our standard position is:
- Client ownership: You retain ownership of your business data, customer information, branding, content, and the specific automation configuration built for your business upon full payment.
- Brilliantcraft ownership: We retain ownership of our proprietary automation frameworks, methodologies, templates, reusable code components, and general know-how developed before or during our work with you.
Where a project produces custom work that is specifically and uniquely created for your business, ownership or licensing terms will be addressed in the applicable service agreement.
Liability
We build every system with care, but automation depends on third-party platforms and services outside our direct control. Therefore:
- Brilliantcraft is not liable for failures, downtime, or data issues caused by third-party software providers such as Zapier, Make.com, HubSpot, Shopify, OpenAI, cloud hosting providers, or other integrated platforms.
- We are not responsible for losses arising from incorrect data, incomplete access, or decisions made by the Client based on automated outputs.
- Our total liability under any engagement is limited to the total fees paid by the Client for the specific project or service giving rise to the claim, unless otherwise agreed in a signed contract.
Nothing in these Terms limits liability for fraud, willful misconduct, or matters that cannot be excluded under applicable law.
Payment and Fees
Project fees, payment schedules, and refund terms are set out in the applicable proposal or service agreement. Unless otherwise stated:
- Deposits or setup fees may be required before work begins.
- Recurring fees for retained services are billed according to the agreed schedule.
- Work may be paused if payments are overdue beyond the grace period stated in the agreement.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. We will not share your business data, systems, or strategies with third parties except as necessary to deliver the agreed services or as required by law.
Termination
Either party may terminate a project or ongoing service in accordance with the termination clause in the applicable service agreement. Upon termination, the Client remains responsible for fees for work completed up to the termination date.
Governing Law
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
Any disputes that cannot be resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the courts of Nigeria.
Changes to These Terms
We may update these Terms from time to time. The latest version will always be posted on this page with the updated effective date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
